This Product Terms Agreement ("Agreement") is a legal agreement between you ("Buyer") and South Agro Trading Ltd ("Seller") governing the purchase and use of our hydroponic agricultural products and related services.
1. Product Quality Standards
South Agro Trading Ltd commits to delivering premium hydroponic produce that meets our strict quality standards as described below.
Retail Orders
All retail orders include:
- Products grown using 100% soilless hydroponic methods with zero pesticides
- Temperature-controlled packaging to maintain freshness during delivery
- Clear labelling with harvest date, variety, and storage instructions
Wholesale Orders
Wholesale orders include all retail benefits, plus:
- Access to bulk pricing and volume discounts
- Dedicated account manager for order coordination
- Custom packaging options including MAP trays, MAP bags, and clamshells for branded resale
2. Permitted Uses
You may:
- Purchase our products for personal consumption or commercial resale
- Use our products in food service, catering, or restaurant operations
- Resell our products in their original packaging with proper attribution to South Agro Trading Ltd
- Feature our products in marketing materials with prior written consent
- Combine our products with other ingredients for prepared food items
3. Prohibited Uses
You may NOT:
- Repackage and misrepresent our products as your own brand without a co-branding or white-label agreement
- Make false claims about our products' origin, certification, or growing methods
- Resell products that have exceeded their recommended shelf life or been improperly stored
- Use our branding or trademarks without written authorization
- Export products to countries where import of fresh produce is restricted without proper compliance
- Use for illegal purposes or in violation of any applicable food safety regulations
4. Intellectual Property
All branding, logos, product names, and marketing materials remain the exclusive property of South Agro Trading Ltd. This Agreement grants you the right to purchase and use our products; it does not transfer any intellectual property rights.
You retain ownership of any original recipes, marketing content, or value-added products you create using our produce as an ingredient.
5. Food Safety Compliance
Our products comply with applicable food safety standards. Key certifications and practices include:
- Soilless hydroponic cultivation in controlled environments
- Zero pesticide growing practices
- 95% water recycling through smart irrigation systems
- 100% solar-powered production facilities
- Cold chain logistics for delivery freshness
- Regular third-party quality audits
Buyers are responsible for maintaining proper storage conditions after delivery as specified in our product guidelines.
6. Ordering and Delivery
Your purchase includes:
- Fresh produce harvested to order for maximum freshness
- Temperature-controlled delivery to preserve quality during transit
- Product documentation including storage guidelines and nutritional information

7. Product Disclaimer
While South Agro Trading Ltd strives for the highest quality, natural agricultural products may vary in size, colour, and appearance. Such variations are inherent to fresh produce and do not constitute defects.
Buyers with food allergies should review product information carefully. South Agro Trading Ltd is not liable for allergic reactions where product information has been clearly provided.
8. Limitation of Liability
In no event shall South Agro Trading Ltd be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to product purchases, even if advised of the possibility of such damages.
South Agro Trading Ltd's total liability shall not exceed the amount paid by you for the specific order in question.
9. Order Cancellation
Orders may be cancelled up to 24 hours before the scheduled harvest date at no charge. Cancellations within 24 hours of harvest may incur a fee.
South Agro Trading Ltd reserves the right to cancel orders due to crop availability, force majeure, or quality concerns, with a full refund issued in such cases.
10. Returns and Refunds
Due to the perishable nature of our products, returns must be reported within 24 hours of delivery. Refunds or replacements are issued for products that arrive damaged, spoiled, or significantly different from what was ordered. Photo evidence may be required. 11. Compliance Verification
South Agro Trading Ltd reserves the right to verify that wholesale partners comply with agreed resale terms, branding guidelines, and food safety standards. Non-compliance may result in termination of the wholesale relationship.
12. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising under this Agreement shall be resolved in the courts of England and Wales.
